Term of Service
Effective Date: April 15, 2026
Last Updated: October 6, 2026
These Terms of Service (“Terms”) govern the use of www.adv-stronghold.com and all programs and services provided by Stronghold Advisory LLC, Cincinnati, Ohio.
Before services begin, Stronghold Advisory LLC may provide these Terms directly or make them reasonably available to the client through a proposal, agreement, invoice, checkout page, electronic communication, website link, or other written notice.
By scheduling, commencing, attending, participating in, or otherwise proceeding with a service or engagement after these Terms have been provided or made reasonably available, the client acknowledges having had the opportunity to review the Terms and agrees to be bound by them.
Acceptance may therefore be demonstrated by conduct, including participation in the applicable service or program, and does not necessarily require the client to separately state or sign the words “I accept,” except where applicable law or a particular transaction requires a specific form of consent.
Stronghold Advisory LLC may also require express acceptance through a signature, checkbox, electronic acknowledgment, written confirmation, or other acceptance mechanism when appropriate.
Electronic payment alone will not be treated as the sole evidence of consent to conduct a transaction electronically where applicable law requires separate consent or another form of affirmative agreement.

-
Career Architecture;

-
Other professional services agreed upon with the client.
Seminars, Webinars, Workshops, and Educational Programs
Seminars, webinars, workshops, presentations, and similar programs provided by Stronghold Advisory LLC are offered for educational and informational purposes within the subject matter presented.
Participation in an educational program does not create an individual advisory relationship unless individual advisory services are separately purchased or expressly included in the applicable program.
Bilingual Services
Stronghold Advisory LLC may provide services in English and/or Spanish according to the needs of the client and the nature of the applicable program or engagement.
The language of the service may be established during scheduling, enrollment, or engagement.
No Candidate-Paid Job Placement Services
Stronghold Advisory LLC does not provide candidate-paid job-placement or employment-procurement services under Career Architecture, Leadership Framework, Talent Structure, or any other Stronghold Advisory LLC program or service.
Stronghold Advisory LLC does not charge candidates or job seekers for:
-
Obtaining employment on their behalf;
-
Placing them into a job;
-
Referring them to an employer in exchange for payment from the candidate;
-
Access to a particular employment opportunity;
-
Securing an interview or job offer; or
-
Compensation contingent upon the candidate being hired.
Fees paid by individuals for Career Architecture, Leadership Framework, or other candidate-facing services are for professional advisory, coaching, training, resume or document services, interview preparation, professional positioning, career development, networking preparation, and related professional-development services—not for job placement or employment procurement.
Talent Structure is an employer-facing recruiting and talent-acquisition service. Recruiting fees are paid by employer clients under individual recruiting engagements. Candidates are not charged for being recruited, presented, referred, interviewed, considered, or hired.
Session Recording
Stronghold Advisory LLC does not record coaching, advisory, interview-preparation, recruiting, or other client sessions, whether conducted through Zoom, Microsoft Teams, Google Meet, another videoconferencing platform, telephone, or another remote communication platform.
The specific scope, price, deliverables, duration, number of sessions, payment conditions, and other terms of an engagement may be established through a proposal, invoice, checkout page, engagement confirmation, written communication, or separate written agreement.

2. ELIGIBILITY, CLIENT QUALIFICATION, SERVICE FIT, AND PROFESSIONAL LIMITATIONS
Age and Legal Capacity
Services provided by Stronghold Advisory LLC are available only to individuals who are 18 years of age or older and legally capable of entering into a binding agreement.
By accepting or using services provided by Stronghold Advisory LLC, the client represents that the client is at least 18 years old and legally capable of entering into the applicable agreement.
Clients are responsible for providing accurate information concerning their eligibility to use the services.
Client Qualification and Service Fit
Stronghold Advisory LLC evaluates prospective clients and engagements to determine whether the services offered are reasonably appropriate for the prospective client’s needs, objectives, circumstances, expectations, and the nature and scope of the services provided.
Submission of an inquiry, consultation request, intake form, scheduling request, application, payment request, or other communication does not require Stronghold Advisory LLC to accept an individual or organization as a client.
Stronghold Advisory LLC reserves the right to determine, in its professional and business judgment, whether a prospective client or engagement represents an appropriate service fit and whether Stronghold Advisory LLC is reasonably positioned to provide meaningful professional value through the requested service.
Stronghold Advisory LLC may decline to accept a prospective client or provide a requested service when it reasonably determines, among other legitimate service-related considerations, that:
-
The requested service is not reasonably appropriate for the prospective client’s actual needs or objectives;
-
Another type of service, professional, resource, or approach would be more appropriate;
-
The prospective client is unlikely to receive meaningful professional benefit from the service under consideration;
-
The prospective client’s expectations materially differ from the nature, purpose, scope, methodology, or limitations of the service;
-
The requested assistance falls outside Stronghold Advisory LLC’s professional scope, methodology, expertise, capacity, or service model;
-
The engagement would require services that Stronghold Advisory LLC does not provide;
-
The circumstances do not permit Stronghold Advisory LLC to provide the service effectively; or
-
Other legitimate professional, operational, ethical, business, or service-related circumstances make acceptance of the engagement inappropriate.
-
The final decision whether to accept a prospective client or engagement rests with Stronghold Advisory LLC, subject to applicable law.
A decision not to accept an engagement does not imply wrongdoing, deficiency, or a negative judgment concerning the prospective client. It may simply reflect Stronghold Advisory LLC’s determination that its services are not the appropriate solution for that individual’s or organization’s particular needs or circumstances.
All client-selection and service-fit decisions will be based on legitimate business and service-related considerations, will be made without unlawful discrimination, and will comply with applicable law.
Work Authorization When Relevant
For employment-related, recruiting, career, or Talent Structure engagements, when relevant to the service or a particular employment opportunity, the client or candidate is responsible for accurately informing Stronghold Advisory LLC:
-
Whether the individual is currently legally authorized to work in the United States; and
-
Whether the individual currently requires or may in the future require employer sponsorship for employment authorization.
-
Stronghold Advisory LLC does not determine an individual’s immigration or citizenship status.
Services Not Provided
Stronghold Advisory LLC does not provide legal, immigration, tax, accounting, medical, health, psychological, psychiatric, mental-health, or other regulated professional advice or services.
This limitation applies regardless of whether the applicable Stronghold Advisory LLC service, event, seminar, webinar, workshop, presentation, consultation, program, or other activity is paid, complimentary, promotional, or offered without charge.
Nothing presented by Stronghold Advisory LLC should be interpreted as legal, immigration, tax, accounting, medical, health, psychological, psychiatric, mental-health, or other regulated professional advice merely because the information is discussed during an educational event, program, consultation, coaching session, or advisory engagement.
This includes advice concerning visas, immigration status, citizenship, permanent residence, work permits, employment authorization, sponsorship eligibility, immigration petitions or applications, or similar matters.
Clients, attendees, participants, and candidates remain responsible for obtaining advice from appropriately licensed or authorized professionals whenever such services are required.
Engagement with Stronghold Advisory LLC does not create an attorney-client, accountant-client, healthcare-provider, mental-health-provider, fiduciary, employment, partnership, or joint-venture relationship.
3. FEES, PRICING, PAYMENTS, NONPAYMENT, AND DEPOSITS
Fees and payment conditions will be communicated through a proposal, invoice, checkout page, engagement confirmation, service agreement, website offer, or other written communication.
Payment may be required:
-
In full before services begin;
-
Before an individual session;
-
By installment;
-
Per session;
-
By package;
-
According to project milestones; or
-
Under another written payment arrangement established by Stronghold Advisory LLC.
Session-by-Session Payment
For services provided on a session-by-session basis, Stronghold Advisory LLC may require payment before a scheduled session as a condition of confirming or providing that session.
Advance payment is not necessarily required for every session, client, or engagement. Stronghold Advisory LLC may determine the applicable payment timing according to the particular service or engagement and will communicate the applicable requirement to the client.
When advance payment is required, Stronghold Advisory LLC may decline to confirm, reserve, hold, or provide the applicable session until the required payment has been received.
Any outstanding payment obligation relating to a previously provided session must be satisfied before Stronghold Advisory LLC is required to schedule or provide an additional session.
Payment for one session does not create an entitlement to future sessions, reserve future calendar availability, or obligate Stronghold Advisory LLC to continue or renew the engagement.
Each subsequent session remains subject to:
-
Applicable payment requirements;
-
Advisor availability;
-
Continued service fit;
-
These Terms; and
-
Confirmation by Stronghold Advisory LLC;
Nonpayment, Suspension, and Client-Initiated Discontinuation
Payment for services already provided constitutes a material obligation of the client under these Terms.
If payment for a completed session, completed professional service, or other amount properly due under the applicable engagement is not received when required, Stronghold Advisory LLC may immediately suspend further performance until the outstanding balance has been paid in full.
While an overdue balance remains outstanding, Stronghold Advisory LLC is not required to:
-
Schedule or provide additional sessions;
-
Reschedule future sessions;
-
Begin or continue additional advisory, coaching, consulting, or other professional services;
-
Prepare or provide additional reports, assessments, analyses, or other ongoing deliverables;
-
Perform additional revisions, modifications, updates, or reviews of resumes, cover letters, reports, professional profiles, or other documents;
-
Continue work on subsequent stages of an engagement; or
-
Provide any other future or continuing service that has not already been completed and delivered.
Payment of an outstanding balance does not guarantee that a previously available appointment, schedule, advisor availability, program, package, or future engagement will remain available.
Any continuation of services after payment remains subject to advisor availability, continued service fit, the status of the engagement, and all other applicable provisions of these Terms.
A client’s failure or refusal to pay an amount properly due for a completed service may be treated by Stronghold Advisory LLC as:
-
A material breach of the engagement; and
-
The client’s unilateral election to discontinue and terminate further services.
Upon such discontinuation, Stronghold Advisory LLC may close the active engagement and will have no obligation to accept, schedule, resume, revise, extend, or provide additional services unless Stronghold Advisory LLC subsequently agrees to resume the professional relationship.
Nonpayment therefore may operate as the client’s decision to end the active service relationship, but it does not cancel, forgive, waive, reduce, or otherwise eliminate any amount properly owed for services already performed or delivered.
This provision does not permit Stronghold Advisory LLC to withhold a service, deliverable, refund, or other right that the client has already fully earned and that applicable law does not permit Stronghold Advisory LLC to withhold.
Any prepaid services that have not been delivered will be addressed in accordance with the refund, termination, and prepaid-service provisions of these Terms and applicable law.
This provision applies only to fees and services that the client requested, authorized, purchased, or otherwise validly agreed to under the applicable engagement.
Prices and Offers
Prices, packages, promotions, service configurations, and commercial offers provided by Stronghold Advisory LLC may be changed, replaced, suspended, or discontinued at any time.
Changes apply prospectively and do not alter the price or material economic terms of a service already purchased or an engagement already accepted unless the client and Stronghold Advisory LLC agree otherwise or applicable law provides otherwise.
The availability of a particular service, package, promotion, or price at one time does not guarantee that the same offer will remain available in the future.
Individualized Pricing and Scope
Services that appear similar in name or general format may be priced differently depending on the specific scope, complexity, requirements, and circumstances of the engagement.
Stronghold Advisory LLC does not represent that all clients purchasing the same general category of service will necessarily receive the same price.
For individual advisory, coaching, career-development, resume, interview-preparation, or related services, pricing may reasonably vary based on factors including:
-
The client’s professional or career stage;
-
The complexity of the client’s objectives or challenges;
-
The amount of preparation, research, analysis, or document work required;
-
The number, type, or duration of sessions or deliverables;
-
The level of customization required;
-
The duration and scope of the engagement; and
-
Other legitimate factors that materially affect the professional services required.
Accordingly, two coaching programs, resume engagements, interview-preparation services, or other apparently similar services may involve materially different preparation, complexity, customization, or professional work and therefore may be priced differently.
Talent Structure Recruiting Pricing
Talent Structure recruiting fees are determined individually for each employer engagement.
Pricing may vary based on legitimate factors including:
-
Position level and seniority;
-
Salary, compensation, or total compensation associated with the position;
-
Number of positions included in the search;
-
Geographic market;
-
Availability and competitiveness of the relevant talent market;
-
Required qualifications, specialization, or experience;
-
Search complexity;
-
Urgency and expected recruiting timeline;
-
Scope and completeness of the recruiting process;
-
Research, sourcing, screening, interviewing, assessment, or coordination requirements;
-
Replacement guarantees or other agreed guarantees;
-
Exclusivity or other engagement conditions; and
-
Special requirements established by the employer client.
Recruiting engagements that appear similar may therefore involve materially different scopes of work and may be priced differently.
Pricing decisions by Stronghold Advisory LLC are based on legitimate business and service-related considerations and will be made in accordance with applicable law.
Payment Methods
Stronghold Advisory LLC may accept payment by credit card, debit card, and other electronic payment methods made available by Stronghold Advisory LLC.
The availability of a particular payment method may change.
Clients Outside the United States
Unless expressly stated otherwise, all prices and amounts charged by Stronghold Advisory LLC are denominated in United States dollars (USD).
Clients located outside the United States are responsible for paying the applicable USD amount or its equivalent as processed by the applicable payment provider or financial institution.
Currency-conversion rates, foreign-transaction fees, bank charges, card-issuer fees, taxes, or other charges imposed by third parties are outside the control of Stronghold Advisory LLC and are the responsibility of the client unless applicable law provides otherwise.
Deposits and Partial Payments
When Stronghold Advisory LLC accepts a deposit or partial payment, the applicable written record will identify, as applicable:
-
The service or program purchased;
-
The applicable price;
-
The amount paid;
-
The remaining balance;
-
Whether and under what circumstances the payment is refundable; and
-
Any material additional charges.
Stronghold Advisory LLC does not impose undisclosed charges.
Third-party payment processors may have their own terms, fees, currency-conversion procedures, and policies.
4. SCHEDULING AND RESCHEDULING
Stronghold Advisory LLC recognizes that unexpected circumstances occur and intends to maintain reasonable flexibility whenever scheduling permits.
Clients are expected to provide at least 24 hours’ notice whenever they need to cancel or reschedule a session.
All scheduling and rescheduling is subject to advisor availability. Stronghold Advisory LLC will make reasonable efforts to accommodate scheduling changes but cannot guarantee a particular replacement date or time.
Programs Paid Session by Session
For programs or engagements in which sessions are paid individually on a session-by-session basis rather than purchased as part of a prepaid package, each session is treated as an individually provided professional service.
Before an additional session is scheduled, any outstanding payment obligation relating to a previously provided session must be satisfied.
Stronghold Advisory LLC may also require payment for an upcoming session in advance. When advance payment is required, payment must be received within the timeframe communicated by Stronghold Advisory LLC before the appointment is considered confirmed.
Stronghold Advisory LLC is not required to reserve or continue holding an appointment for which a required advance payment has not been received.
Advance payment may be required for some sessions, programs, engagements, or clients and not for others. The applicable payment arrangement will be communicated by Stronghold Advisory LLC.
Scheduling each subsequent session remains subject to advisor availability, applicable payment requirements, continued service fit, and confirmation by Stronghold Advisory LLC.
Payment for a session does not create a right to any subsequent session or guarantee continuation or renewal of the professional relationship.
If a session under a session-by-session arrangement is considered used, missed, forfeited, or otherwise lost under these Terms, the client does not have an automatic right to a replacement session or additional rescheduling.
Stronghold Advisory LLC may, in its discretion, permit such a session to be rescheduled as an exceptional accommodation. Any such accommodation is subject to advisor availability and is not guaranteed.
Granting an exception on one occasion does not establish a precedent, create a continuing right, or require Stronghold Advisory LLC to provide the same accommodation in the future.
A session that has been completed as defined in Section 6 is a delivered professional service and is non-refundable, except where applicable law requires otherwise.
This subsection applies only to programs or engagements paid on a session-by-session basis. It does not modify, replace, or supersede the scheduling, cancellation, rescheduling, missed-session, refund, or other conditions applicable to prepaid packages or programs. Those provisions remain in effect according to these Terms and any applicable engagement-specific agreement.
One Rescheduling Per Session
Each scheduled session may ordinarily be rescheduled one time at the client’s request, subject to these Terms and advisor availability.
Once a session has been rescheduled, the client does not have an automatic right to reschedule that same session again.
Three Consecutive Reschedulings
If a client reschedules three consecutive scheduled sessions within the same program or engagement, the client no longer has an automatic right to further rescheduling accommodations.
The client may continue attending any remaining purchased or subsequently accepted sessions according to the applicable payment and scheduling conditions.
A session that cannot be attended after the applicable rescheduling right has been exhausted may be considered used and non-refundable in accordance with these Terms, except where applicable law provides otherwise.
Genuine Emergencies
Stronghold Advisory LLC recognizes that genuine emergencies and serious unforeseen circumstances occur.
When an extraordinary, unavoidable, or compelling circumstance reasonably prevents attendance, timely notice, or compliance with normal rescheduling limits, Stronghold Advisory LLC may permit an additional rescheduling.
Examples may include a genuine medical emergency, serious family emergency, accident, or another significant unforeseen circumstance outside the client’s reasonable control.
Exceptions are evaluated individually and remain subject to advisor availability.
An exception does not create an unlimited or continuing right to repeated rescheduling.
5. CANCELLATIONS, SHORT NOTICE, AND NO-SHOWS
Client Notice of 24 Hours or More
When a client provides at least 24 hours’ notice, the client may ordinarily:
-
Reschedule the session, subject to Section 4 and advisor availability; or
-
Cancel an eligible prepaid and undelivered session and request the applicable refund, subject to these Terms.
Client Short Notice
Notice provided by the client less than 24 hours before the scheduled starting time is considered short notice.
Providing short notice is sufficient to prevent the absence from being classified as a no-show.
However, short notice does not automatically create a right to rescheduling or a refund. Because professional time has already been reserved, the session may be considered used and non-refundable, except where applicable law provides otherwise.
Stronghold Advisory LLC may make an exception when extraordinary, unavoidable, or compelling circumstances reasonably justify it.
Client No-Show
A client is considered a no-show when both of the following conditions occur:
-
The client has not attended the session within fifteen (15) minutes after the scheduled starting time; and
-
The client provided no prior notice or communication explaining the absence, reporting a delay, canceling the session, or requesting rescheduling.
If notice was provided before the scheduled starting time, including short notice, the absence will not be classified as a no-show.
When both no-show conditions are met, the applicable session may be considered used and non-refundable, regardless of whether it was purchased individually or as part of a package, except where applicable law provides otherwise.
A genuine emergency that prevented both attendance and timely communication may be considered under the emergency provisions of these Terms.
Advisor Short Notice
If an advisor representing Stronghold Advisory LLC provides less than 24 hours’ notice that a scheduled session must be canceled or rescheduled, the client has the right to have that session rescheduled without additional charge.
Stronghold Advisory LLC will make reasonable efforts to identify a mutually suitable replacement date and time.
If, after reasonable efforts, no suitable rescheduling option is available and the session was already paid, the client may request a full refund of the amount attributable to that undelivered session.
An advisor short-notice cancellation is not considered a completed or delivered session.
Advisor No-Show
An advisor representing Stronghold Advisory LLC is considered a no-show when both of the following conditions occur:
-
The advisor has not attended the session within fifteen (15) minutes after the scheduled starting time; and
-
The advisor provided no prior notice or communication regarding the delay, cancellation, or need to reschedule.
When both conditions occur, the client has the right to:
-
Reschedule the session for another mutually suitable time without additional charge; or
-
If no suitable rescheduling option is available and the session was already paid, request a full refund of the amount attributable to that session.
An advisor no-show is not considered a delivered or completed session.
6. COMPLETED SESSIONS, REFUNDS, PREPAID SERVICES, AND STATUTORY CANCELLATION RIGHTS
The refund policy of Stronghold Advisory LLC is based primarily on whether the purchased professional service has already been delivered, performed, or properly considered used under these Terms.
Completed Sessions Are Non-Refundable
A professional session that has been substantially delivered according to the nature and scope of the scheduled service constitutes a completed and delivered professional service and is non-refundable, except where applicable law requires otherwise.
This applies regardless of whether the session was:
-
Purchased individually;
-
Paid before the session;
-
Paid after the session;
-
Included within a prepaid package or program; or
-
Provided under another agreed payment arrangement.
A client’s dissatisfaction with the result ultimately obtained, failure to achieve a personal or professional objective, decision not to implement a recommendation, or belief that the service did not produce the expected result or benefit does not convert a properly delivered session into an undelivered service and does not independently create a refund right.
Voluntary Early Termination of a Session by the Client
If the client voluntarily ends, leaves, disconnects from, or otherwise chooses to discontinue a session after at least fifteen (15) minutes of the live session have been delivered, the session may be treated as completed and non-refundable, provided Stronghold Advisory LLC was ready, willing, and reasonably able to continue providing the scheduled service.
This provision does not apply when the client ends the session because Stronghold Advisory LLC materially failed to provide the scheduled service or because of a material technical, operational, or other failure attributable to Stronghold Advisory LLC.
A session is not considered completed solely because fifteen minutes have elapsed.
Failure by Stronghold Advisory LLC to Substantially Provide a Session
If Stronghold Advisory LLC materially fails to provide the scheduled professional service, the session will not be treated as completed merely because some portion of the scheduled time elapsed.
Depending on the circumstances, Stronghold Advisory LLC may:
-
Continue the session;
-
Reschedule the remaining or entire session without additional charge;
-
Provide an appropriate equivalent remedy agreed with the client; or
-
Refund the amount attributable to the undelivered portion or session, as applicable.
Prepaid Sessions Not Yet Delivered
Refunds may apply to sessions that were paid for in advance but have not been delivered, subject to the scheduling, cancellation, rescheduling, termination, and no-show provisions of these Terms.
A session properly considered used because of:
-
A client short-notice cancellation;
-
A client no-show;
-
An exhausted rescheduling right; or
-
Another condition expressly established in these Terms is not considered an undelivered refundable session, except where applicable law requires otherwise.
Packages and Programs
A client may discontinue the remaining portion of a prepaid package or program.
Completed sessions and sessions properly considered used under these Terms remain non-refundable, except where applicable law provides otherwise.
Unused prepaid sessions that have not been delivered and are not otherwise considered used under these Terms may be refundable.
Unless another allocation was disclosed before purchase, the refundable value of unused sessions will ordinarily be determined by dividing the total package price by the number of included sessions and multiplying that amount by the number of refundable unused sessions.
Cancellation or termination of a package or program does not create a right to recover payment for sessions or services already delivered, performed, or properly considered used.
If Stronghold Advisory LLC elects to terminate a prepaid engagement for service-fit or other business reasons unrelated to client misconduct, any prepaid amount attributable to services that Stronghold Advisory LLC elects not to provide and that have not otherwise been delivered, performed, or properly considered used under these Terms will be handled in accordance with this Section and applicable law.
Statutory Cancellation and Rescission Rights
Nothing in these Terms eliminates, shortens, restricts, or waives any cancellation, rescission, refund, disclosure, or notice right that applicable law does not permit the parties to waive.
If a transaction qualifies under applicable law for a statutory cancellation period, including a qualifying home-solicitation sale or another transaction carrying mandatory cancellation rights:
-
The applicable statutory cancellation right controls;
-
Stronghold Advisory LLC will provide any notice required by applicable law;
-
A provision in these Terms stating that a service is non-refundable will not override a legally mandated cancellation or refund right; and
-
Stronghold Advisory LLC will not begin performance during a legally prohibited cancellation period unless commencement is permitted by applicable law and all required conditions have been satisfied.
Delayed Delivery of Prepaid Services
When Stronghold Advisory LLC accepts payment in advance for services, Stronghold Advisory LLC will make reasonable efforts to deliver those services within the agreed or reasonably expected timeframe.
If delivery is materially delayed, Stronghold Advisory LLC will comply with applicable consumer-protection requirements concerning delivery, notification of delay, substitute services where agreed, and refunds.
Refund Processing
When a refund is due, Stronghold Advisory LLC will ordinarily initiate the refund within 10 business days after determining the refundable amount.
Additional processing time may depend on the bank, card issuer, or payment processor.
7. RESUMES, DOCUMENTS, AND PROFESSIONAL DELIVERABLES
For resume writing or review, cover letters, professional profiles, reports, analyses, assessments, research, and other professional deliverables:
-
Work already performed or delivered is non-refundable, except where applicable law requires otherwise;
-
If the client cancels before completion, Stronghold Advisory LLC may retain the portion of the fee reasonably attributable to work already performed; and
-
Prepaid amounts attributable to work not yet performed may be refundable.
Research, analysis, preparation, drafting, consultation, editing, and similar substantive activity constitute work performed even if the final document has not yet been delivered.
Standalone Document Services
For standalone resume review, resume writing, cover-letter preparation, or comparable professional-document services, the client may request reasonable corrections or revisions for up to five (5) business days after delivery.
Included revisions must remain within the original scope and purpose of the purchased service.
A substantially new document, different career direction, new target role, or materially expanded assignment may constitute a new service and may require an additional fee.
If the client has an outstanding unpaid balance for a completed session or other properly due service, Stronghold Advisory LLC may suspend additional revisions, modifications, updates, reviews, or other continuing document work in accordance with Section 3.
Documents Included in Long-Term Programs
When resume, cover-letter, report, assessment, or comparable professional-document services are included in a paid long-term program, reasonable reviews or revisions may be requested throughout the active duration of that paid program, provided the request remains reasonably connected to the program’s scope and objectives.
After the program ends, additional revisions or updates may be treated as a new service.
If the client materially breaches the engagement through nonpayment and the engagement is suspended or terminated under Section 3, Stronghold Advisory LLC is not required to continue performing future revisions or other ongoing work that has not already been fully earned and that applicable law does not otherwise require Stronghold Advisory LLC to provide.
8. NATURE OF THE SERVICES AND WHAT STRONGHOLD ADVISORY LLC PROVIDES
Stronghold Advisory LLC provides professional services. It does not sell or guarantee employment, interviews, promotions, financial results, or achievement of a client’s particular personal or professional objective.
Depending on the engagement, the professional service purchased may include one or more of the following:

The service purchased by the client is the professional work, preparation, analysis, training, advisory support, coaching, session, document, recruiting activity, or other deliverable expressly included within the applicable engagement.
Stronghold Advisory LLC will provide the applicable professional service according to the scope of the engagement and with the reasonable professional care appropriate to the nature of the service.
Client Goals Versus Contracted Services
A client may engage Stronghold Advisory LLC because the client wishes to achieve a particular objective, including:
-
Obtaining employment;
-
Obtaining more interviews;
-
Receiving a job offer;

-
Expanding a professional network;
-
Improving recruiting results;
-
Developing professional skills; or
-
Achieving another career, business, professional, or organizational objective.
Those objectives may explain the client’s reason for purchasing the service.
They are not themselves the professional service that Stronghold Advisory LLC promises to deliver and are not guaranteed outcomes.
Stronghold Advisory LLC provides the professional preparation, strategy, training, analysis, feedback, tools, documents, frameworks, recommendations, recruiting services, and other professional services expressly included within the applicable engagement.
Stronghold Advisory LLC does not promise that those services will produce a particular result, measurable improvement, specific benefit, or achievement of the client’s individual objective.
Client Participation
The usefulness and effectiveness of professional services may depend in part on the client’s own:
-
Participation;
-
Preparation;
-
Cooperation;
-
Decisions;
-
Implementation;
-
Consistency;
-
Communication;
-
Follow-through; and
-
Application of the information, training, recommendations, or materials provided.
Clients remain responsible for deciding how to use the services and for taking the actions necessary to pursue their objectives.
Clients are not required to agree with or implement every recommendation provided by Stronghold Advisory LLC and remain responsible for exercising their own independent judgment.
However, when participation, preparation, information, feedback, cooperation, exercises, activities, or other program components are reasonably necessary for Stronghold Advisory LLC to perform the applicable service, a material lack of participation may affect the effectiveness, continuation, or suitability of the engagement as provided in these Terms.
9. NO GUARANTEE OF EMPLOYMENT, INTERVIEWS, BENEFITS, OR PARTICULAR OUTCOMES
Stronghold Advisory LLC does not guarantee that any service will result in achievement of a client’s particular personal, career, employment, professional, recruiting, financial, organizational, or business objective.
Without limitation, Stronghold Advisory LLC does not guarantee:

-
A particular level of improvement in performance, confidence, communication, interviewing, leadership, positioning, networking, or professional skills; or
-
Any other specific or measurable benefit connected to the client’s individual goals.
Employment, career, recruiting, business, and professional outcomes may depend on numerous factors outside the control of Stronghold Advisory LLC, including:
-
The client’s qualifications and experience;
-
The client’s preparation and execution;
-
Implementation of recommendations;
-
Employer and recruiter decisions;
-
Hiring-manager preferences;
-
Competition;
-
Labor-market and economic conditions;
-

Geographic considerations;
-
Professional relationships and networking;
-
Interview performance;
-
Organizational circumstances; and
-
Decisions or actions by third parties.
Stronghold Advisory LLC therefore does not represent that purchasing, participating in, or completing a service will necessarily improve the client’s probability of obtaining any particular result or provide any particular measurable benefit.
Service Delivery Is Distinct From Outcome
Stronghold Advisory LLC’s obligation is to provide the professional service, work, session, program component, document, analysis, training, advisory activity, recruiting activity, or other deliverable included in the applicable engagement.
Achievement of the client’s ultimate objective is separate from delivery of that professional service.
Accordingly, a service may be fully and properly delivered even when the client does not obtain the particular result, benefit, opportunity, improvement, or outcome the client hoped to achieve.
No Outcome-Based Refund
Failure to obtain employment, interviews, job offers, promotions, compensation increases, professional advancement, recruiting results, business opportunities, or another desired result does not by itself establish that Stronghold Advisory LLC failed to perform the purchased service and does not create a right to a refund.
Likewise, a client’s determination that a service did not produce the expected level of personal or professional benefit does not, by itself, create a refund right after the applicable service has been properly delivered.
A completed session remains non-refundable even if the client later determines that the session did not produce the result, improvement, or benefit the client expected, except where applicable law provides otherwise.
This provision does not affect any refund otherwise due for prepaid services that were not delivered, a failure by Stronghold Advisory LLC to provide a service expressly purchased, or any right that applicable law does not permit the parties to waive.
10. TALENT STRUCTURE AND RECRUITING ENGAGEMENTS
Talent Structure is the employer-facing recruiting and talent-acquisition program of Stronghold Advisory LLC.
Talent Structure does not provide candidate-paid employment-placement services.
Individual Recruiting Agreements
Every Talent Structure recruiting engagement is governed by an individual written agreement, proposal, or engagement contract provided to the employer client.
The individual agreement may establish:
-
Positions covered;
-
Recruiting scope;
-
Search parameters;
-
Fees and payment terms;
-
Candidate-presentation conditions;
-
Hiring or placement terms;
-
Replacement guarantees or other guarantees;
-
Guarantee periods;
-
Eligibility requirements;
-
Exclusions or limitations;
-
Client responsibilities;
-
Engagement duration;
-
Termination conditions; and
-
Other engagement-specific parameters.
Because recruiting assignments vary according to the position, employer, labor market, compensation, hiring process, geographic market, search requirements, and scope of work, Talent Structure guarantees and special conditions are established individually and case by case.
When a guarantee is expressly included in an individual Talent Structure agreement, that guarantee forms part of the service delivered by Stronghold Advisory LLC.
Stronghold Advisory LLC will honor the guarantee according to its written scope, duration, eligibility requirements, conditions, exclusions, and limitations.
No recruiting guarantee may be inferred beyond the guarantee expressly stated in the applicable individual agreement.
If no guarantee is expressly stated in writing, no specific recruiting guarantee applies.
Relationship Between Individual Agreements and These Terms
Each individual Talent Structure agreement incorporates these general Terms of Service unless the agreement expressly provides otherwise.
If an individual Talent Structure agreement conflicts with these general Terms, the individual Talent Structure agreement controls with respect to that recruiting engagement, except where applicable law provides otherwise.
Nothing in a Talent Structure agreement may eliminate a right or obligation that applicable law does not permit the parties to waive.
11. CLIENT RESPONSIBILITIES, COOPERATION, CONTINUING SERVICE FIT, AND TERMINATION
Client Responsibilities
Clients agree to:
-
Provide accurate and reasonably complete information;
-
Accurately represent their age and eligibility to engage the services;
-
When relevant, accurately provide information concerning U.S. work authorization and sponsorship requirements;
-
Participate in the engagement in good faith;
-
Attend sessions or provide appropriate notice;
-
Complete agreed preparation when relevant;
-
Participate reasonably in material activities, exercises, assessments, assignments, discussions, or other components of the applicable service when relevant;
-
Review communications and deliverables within a reasonable period;
-
Provide information, documents, decisions, feedback, or approvals reasonably necessary for Stronghold Advisory LLC to perform the service;
-
Pay all properly due amounts according to the applicable payment arrangement;
-
Use independent judgment when applying professional guidance; and
-
Comply with applicable law.
A delay attributable to missing client information, documents, decisions, approvals, attendance, preparation, participation, cooperation, or payment may reasonably extend or suspend the service timeline and does not constitute failure by Stronghold Advisory LLC to perform within an original estimated period.
Ongoing Service Fit
Acceptance of a client or commencement of an engagement does not obligate Stronghold Advisory LLC to renew, extend, or indefinitely continue the professional relationship.
Stronghold Advisory LLC may evaluate throughout an engagement whether:
-
The service continues to be appropriate for the client;
-
The client is reasonably benefiting or capable of benefiting from the service;
-
The engagement remains within Stronghold Advisory LLC’s professional scope and service model;
-
The client is participating sufficiently for the applicable service to be performed effectively; and
-
The engagement can continue to be delivered effectively within its intended structure, methodology, and objectives.
Stronghold Advisory LLC reserves the right, in its professional and business judgment, to decline to renew or extend an engagement, decline to schedule or accept payment for additional services, discontinue a program, or terminate an existing engagement when it reasonably determines that continuation is no longer appropriate, productive, feasible, or reasonably capable of serving the intended purpose of the service.
Such a determination may include circumstances in which:
-
Stronghold Advisory LLC reasonably concludes that its services are no longer appropriate for the client’s needs, objectives, or circumstances;
-
Stronghold Advisory LLC reasonably determines that the client is not receiving, or is unlikely to receive, meaningful benefit from continued services;
-
The client’s needs have developed beyond or outside the scope of services Stronghold Advisory LLC provides;
-
The client does not participate in good faith in material activities, exercises, preparation, assignments, assessments, discussions, or other elements reasonably forming part of the applicable program;
-
The client repeatedly declines or does not participate in the structure or methodology reasonably necessary to carry out the program effectively;
-
The client does not provide information, decisions, feedback, preparation, cooperation, or participation reasonably necessary for Stronghold Advisory LLC to perform the engagement;
-
The client fails or refuses to pay an amount properly due for completed or authorized services;
-
The engagement or professional relationship has become materially inconsistent with the purpose, methodology, limitations, or intended structure of the applicable service; or
-
Other legitimate professional, operational, ethical, business, or service-related circumstances reasonably support discontinuation of the engagement.
A client is not required to agree with or implement every recommendation made by Stronghold Advisory LLC.
Disagreement, criticism, dissatisfaction, or rejection of a particular recommendation does not, by itself, constitute failure to cooperate.
However, when the client’s overall level of participation or cooperation materially prevents Stronghold Advisory LLC from performing the program or service according to its intended structure or purpose, Stronghold Advisory LLC may determine that continuation of the engagement is no longer appropriate.
Non-Renewal and Discontinuation of Future Services
Stronghold Advisory LLC is not obligated to offer or accept a renewal, extension, subsequent package, future session, additional project, or new engagement after completion or termination of an existing service.
For services provided on a session-by-session basis, Stronghold Advisory LLC may decline to offer, schedule, or accept payment for additional sessions and may notify the client that the engagement or professional relationship will not continue.
No client acquires a contractual right to future services merely because Stronghold Advisory LLC previously provided services to that client.
Termination of an Active Engagement
Stronghold Advisory LLC may terminate an active engagement when, in its reasonable professional and business judgment, continuation is no longer appropriate under the service-fit, payment, cooperation, or other principles established in these Terms.
When circumstances reasonably permit, Stronghold Advisory LLC will provide notice that the engagement is being discontinued and identify the effective date after which additional services will not be provided.
For prepaid packages or programs, completed services, work already performed, sessions already delivered, and sessions properly considered used under these Terms remain non-refundable, except where applicable law provides otherwise.
Any prepaid amount attributable to services that Stronghold Advisory LLC elects not to provide and that have not otherwise been delivered, performed, or properly considered used under these Terms will be handled according to Section 6 and applicable law.
Nonpayment as Client-Initiated Termination
Failure or refusal to pay a properly due amount for a completed or authorized service may be treated as a material breach and as the client’s unilateral election to discontinue the engagement.
Stronghold Advisory LLC may therefore close the active engagement, suspend all continuing work, and decline additional sessions, rescheduling, revisions, updates, reports, analyses, document work, or other future services.
Termination resulting from nonpayment does not eliminate any amount already owed for services previously delivered or performed.
The client’s payment of an overdue balance after termination does not automatically reactivate the engagement. Resumption of services requires acceptance by Stronghold Advisory LLC and remains subject to availability, continued service fit, and any then-applicable terms and conditions.
Suspension or Immediate Termination for Cause
Stronghold Advisory LLC may suspend or terminate an engagement for:
-
Fraud;
-
Material misrepresentation;
-
Threatening, abusive, discriminatory, harassing, or materially inappropriate conduct;
-
Unlawful activity;
-
Repeated or material nonpayment;
-
Material violation of the applicable agreement or these Terms; or
-
Other conduct that makes continuation of the professional relationship unsafe, unlawful, or materially impracticable.
Where circumstances reasonably require immediate action, Stronghold Advisory LLC may suspend or terminate services without advance notice.
The final decision whether Stronghold Advisory LLC will accept, continue, renew, extend, resume, or terminate a professional engagement rests with Stronghold Advisory LLC, subject to applicable law.
All such decisions will be based on legitimate business, professional, operational, ethical, or service-related considerations and will be made without unlawful discrimination.
12. PROFESSIONAL CONDUCT AND RESPECT
Stronghold Advisory LLC is committed to maintaining a professional, cordial, respectful, and constructive relationship with clients and expects the same standard of conduct toward its advisors, employees, representatives, contractors, and other individuals involved in providing services.
Clients are expected to communicate and interact in a civil and professional manner.
Unacceptable conduct may include:
-
Insults or personal attacks;
-
Threatening, intimidating, hostile, or abusive behavior;
-
Foul, obscene, or intentionally offensive language directed toward a member of the Stronghold Advisory LLC team;
-
Derogatory, degrading, discriminatory, or demeaning comments;
-
Harassment;
-
Repeated insolent, aggressive, or intentionally disrespectful communication; or
-
Other conduct that materially interferes with a safe, professional, and productive working relationship.
Disagreement, criticism, frustration, or dissatisfaction does not by itself constitute improper conduct. Clients remain free to express concerns or disagreements respectfully.
Stronghold Advisory LLC reserves the right to immediately suspend or terminate a commercial or professional relationship when a client engages in serious abusive, threatening, discriminatory, harassing, or otherwise materially inappropriate conduct.
Stronghold Advisory LLC may also terminate an engagement when repeated unacceptable conduct continues after reasonable notice when notice is appropriate.
Termination under this Section does not create a refund right for completed sessions, services already delivered, sessions properly considered used, or work already performed, except where applicable law provides otherwise.
Eligible prepaid services that have not been delivered will be handled according to Sections 6 and 11 and applicable law.
13. INTELLECTUAL PROPERTY AND CLIENT DOCUMENTS
Stronghold Advisory LLC retains ownership of its proprietary and pre-existing:
-
Frameworks;
-
Methodologies;
-
Processes;
-
Training systems;
-
Templates;
-
Research methods;
-
Educational materials;
-
Internal tools;
-
Branding; and
-
Website content.
Clients may use, reproduce, submit, modify, and adapt customized resumes, cover letters, professional profiles, or comparable completed documents created specifically for them.
This right does not transfer ownership of the underlying methodologies, frameworks, systems, templates, or other proprietary intellectual property belonging to Stronghold Advisory LLC.
Proprietary materials belonging to Stronghold Advisory LLC may not be commercially reproduced, resold, licensed, distributed, or represented as another party’s proprietary material without written authorization.
14. PRIVACY, THIRD-PARTY SERVICES, ELECTRONIC TRANSACTIONS, AND WEBSITE USE
Stronghold Advisory LLC maintains a separate Privacy Policy, which clients and website users may review through the Privacy Policy link available on the Stronghold Advisory LLC website.
Stronghold Advisory LLC may use third-party systems for payment processing, scheduling, videoconferencing, communication, document management, electronic signatures, and other business functions. Those providers may be subject to their own terms and privacy policies.
Electronic Transactions
Stronghold Advisory LLC may use electronic records, communications, agreements, acknowledgments, and signatures to the extent permitted by applicable law.
Where applicable law requires a consumer to separately consent to conducting a transaction electronically, Stronghold Advisory LLC will obtain the required form of consent.
A consumer’s agreement to electronic transactions will not be inferred solely from the consumer’s use of an electronic method to make a payment where applicable law prohibits such an inference.
Website Use
The website may be used only for lawful purposes.
Fraud, unauthorized access, malicious activity, interference with website operation, and unauthorized commercial use of proprietary materials are prohibited.
15. LIMITATION OF LIABILITY AND CONSUMER RIGHTS
To the fullest extent permitted by applicable law, Stronghold Advisory LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from its services.
Except where applicable law provides otherwise, the aggregate contractual liability of Stronghold Advisory LLC arising from a particular engagement will not exceed the amount actually paid to Stronghold Advisory LLC for the specific service or engagement giving rise to the claim.
Nothing in these Terms is intended to exclude, waive, restrict, or limit:
-
Liability for fraud;
-
Liability arising from willful or wanton misconduct;
-
Liability for gross negligence to the extent such liability cannot legally be limited;
-
Liability or remedies that applicable law does not permit the parties to limit or waive;
-
Mandatory consumer rights or statutory remedies;
-
An eligible refund owed under these Terms;
-
An applicable written Talent Structure guarantee; or
-
Another express written obligation accepted by Stronghold Advisory LLC.
Nothing in these Terms is intended to eliminate, shorten, restrict, or waive any mandatory cancellation, rescission, refund, disclosure, notice, anti-discrimination, or other right or protection that applicable law does not permit the parties to waive.
If any limitation or exclusion contained in these Terms is unenforceable under applicable law, that limitation or exclusion will apply only to the maximum extent legally permitted.
16. GOVERNING LAW, CONTRACT PRIORITY, CHANGES, ACCEPTANCE, AND GENERAL TERMS
Governing Law and Venue
These Terms and engagements with Stronghold Advisory LLC are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent that mandatory federal law or non-waivable law of another applicable jurisdiction governs a particular transaction.
Subject to any jurisdictional, venue, procedural, or consumer right that cannot legally be waived, disputes arising from these Terms or services provided by Stronghold Advisory LLC may be brought before an appropriate state or federal court having jurisdiction in Hamilton County, Ohio.
Business Days
For purposes of these Terms, “business day” means Monday through Friday, excluding official U.S. federal holidays and holidays observed by Stronghold Advisory LLC according to the Jewish calendar.
Contract Priority
Where more than one document governs an engagement, the following hierarchy applies to the extent permitted by law:
-
Applicable mandatory law;
-
An applicable individual written Talent Structure or other engagement-specific agreement;
-
These general Terms of Service; and
-
Other incorporated written engagement materials.
Changes to These Terms
Stronghold Advisory LLC may modify or update these Terms prospectively to reflect changes in services, pricing structures, scheduling practices, business practices, technology, legal requirements, or other legitimate business considerations.
The most recent version will be identified by the “Last Updated” date.
Revised Terms may apply to new engagements, new purchases, renewals, extensions, and future services after the revised Terms have been presented or made available and accepted as required by applicable law.
Publication of revised Terms on the website does not, by itself, retroactively modify the material contractual rights or obligations governing an already purchased or active engagement where applicable law requires notice, assent, or another procedure for modification.
Material changes affecting an active engagement will not retroactively alter the price or other material economic terms already agreed upon unless:
-
The client affirmatively agrees to the modification;
-
The applicable engagement agreement expressly and lawfully permits the modification; or
-
Applicable law otherwise permits or requires the change.
Where affirmative consent to a material modification is legally required, Stronghold Advisory LLC will obtain that consent before applying the modification to the applicable active engagement.
Acceptance of Future Services
A client may be required to accept the version of the Terms then in effect before purchasing, renewing, extending, resuming, or commencing a new service or engagement.
Completion of one service, program, package, session, recruiting engagement, document service, or other engagement does not obligate either party to enter into a subsequent engagement unless otherwise expressly agreed in writing.
Stronghold Advisory LLC retains the right to determine whether it will accept any future or resumed engagement in accordance with the client-qualification, service-fit, payment, and other provisions of these Terms.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited, modified, or severed only to the extent necessary, and the remaining provisions will remain in effect.
No Waiver
Failure by Stronghold Advisory LLC to enforce a provision on one occasion does not constitute a waiver of that provision or the right to enforce it on another occasion.
The granting of an exception, courtesy, accommodation, extension, rescheduling, refund, payment extension, revision, or other concession on one occasion does not create an obligation to provide the same exception or accommodation in the future unless otherwise required by law.
Entire Agreement
These Terms, together with any applicable proposal, invoice, engagement confirmation, individual agreement, checkout terms, and other written terms expressly incorporated into an engagement, constitute the applicable agreement between the parties.
Nothing in these Terms supersedes a mandatory legal right or requirement that cannot lawfully be waived by contract.
Questions, cancellations, rescheduling requests, refund requests, payment matters, or other notices concerning these Terms may be directed to:
